Lawyer RSS Feed

If you feel the calling to help others and you're wondering how to go about the process of filing non profit articles of incorporation this article may be able to give you some ideas of what the process entails. I'm not an attorney, and I want to be clear that I can't give you legal advice, which this isn't, so make sure to talk to your lawyer before you make any legal decisions.

Even though the rules can vary significantly from one state to the next when it comes to forming a non profit organization, they are very strict and there are certain things you must make sure that you do. A non profit is just that, you don't run the business with the expectation of making profit, any profit that is made must be put back into the business to help the people who are the intended recipients of the money.

Step one to setting up your non profit organization is to state what your intention is and who you are intending to help. This is the time to be very specific. You have to fully lay out all your plans, what specific help you will be providing as well as specifics about who will receive this help.

The next step, and one of the more fun steps, is to pick out the name for your company. Obviously, the name should be something that makes clear the intentions of the company. Make sure the name you choose isn't already being used by another organization or company. There is generally a small fee associated with registering a company name.

The next thing you will need to do is to file the articles of incorporation. This process can vary greatly from one state to the next so it's important to find out what the exact requirements for your state are. A lawyer can help walk you through this process.

As a non profit you are eligible for a tax exempt status. Once your non profit is set up you can apply for your tax exempt status by filling out form 1023. To get a copy of the form either visit your local IRS office or just go online to: www.irs.gov

Next you will draft the bylaws for your non profit group. These are just the rules and regulations that must be followed by all the managers and administrators of the non profit. This is where the rules for recording meetings, holding meetings and voting and election procedures are spelled out.

Now that you have the rules in place you need to form a board of directors. This is simply a group of people who were either elected or appointed to uphold the bylaws of the non profit. The owner of the non profit, you, will be required to hold board meetings annually.

Depending on your location, you will be required to apply for licenses and permits to conduct business. It will vary from one state and one town to another so check with your local chamber of commerce to get an idea of what is required where you live.

These are just some of the steps you will need to take to get your non profit articles of incorporation set up. There are many aspects to setting up a business so make sure you get qualified legal help before you start on the process.
